Definitions

User: An end person or business who created an account in ShipGenius with the intention of generating shipping labels or using fulfillment services.

Account: An agreement between the User and ShipGenius LLC. The account holds all information regarding payments, transactions, generated labels, orders, inventory, and personal information.

Account Tier: The ShipGenius product level associated with an account: Core, Plus, OMS, Warehouse, or 3PL. Each tier governs the features and services available to the account holder.

Service(s): Any option given to the User by ShipGenius to perform an action, including label generation, rate shopping, order management, fulfillment, inventory management, and API access.

Carrier: A connected third-party service providing shipping services via ground and air transport.

Marketplace Integration: A connection between ShipGenius and a third-party platform (such as Shopify, Infoplus, WooCommerce, or eBay) that syncs orders and inventory data into ShipGenius.

Blueprint: A ShipGenius OMS feature that defines automated fulfillment logic applied to matching orders.

3PL Operator: An account holder on the 3PL tier who uses ShipGenius to manage fulfillment services on behalf of multiple client brands.

Client Brand: A brand whose fulfillment is managed by a 3PL Operator within the ShipGenius platform.

Agreement

This document serves as an agreement between you and ShipGenius LLC, a Utah-based company. This agreement governs the use of any ShipGenius product in any medium.

You are only eligible to use our services if you:

• Are a legal United States resident
• Are at least 18 years of age
• Will only purchase labels if all products and items being sent are not federally illegal substances
• Will comply with all applicable United States import, export, and re-export laws, substance laws, hazardous materials laws, and private carrier rules
• Are legally allowed to enter a binding contract and have accepted this agreement
• Understand that hazmat rules and regulations apply to all shipments and that ShipGenius is not liable for any incorrect information entered regarding hazardous materials
• Accept that in the event of a package being returned due to incorrect information, you are responsible for the costs associated with that return

Services and Description

ShipGenius LLC provides a platform spanning the following product tiers:

• Core: Shipping label generation with ShipGenius-negotiated UPS and USPS rates. Available to all users at no monthly fee.
• Plus: Everything in Core plus BYO carrier accounts, prepaid credits, and API key access. Available at no monthly fee with a $0.06 per-label fee on BYO carrier account labels.
• OMS: Full order and SKU management, packout workflows, scan-verify label printing, Blueprint automation, and a desktop application. Available at $19.99/month flat with no per-order fees.
• Warehouse: Single-client enterprise WMS including wave picking, advanced receiving, multi-location inventory, EDI compliance, and freight management. Pricing by agreement.
• 3PL: Multi-client fulfillment management including all Warehouse features plus client portals, white label, automated billing, and 3PL Marketplace listing. Pricing by agreement.

We facilitate shipping via UPS, USPS, DHL eCommerce, DHL Express, Passport Global, and FedEx. Individuals may pay using credit cards or bank accounts. Business accounts may pay through invoicing for API-requested packages and credit card or bank account for web portal purchases.

ShipGenius is an Intermediary Third-Party SaaS Provider

ShipGenius serves as an intermediary between the customer and carrier services including USPS, UPS, DHL, DHL Express, Passport Global, Uniuni, and FedEx. We provide a platform to compare and purchase their services. We do not provide shipping services, freight, or any transportation services.

ShipGenius displays service options from carriers with information provided by those carriers. We do not sponsor any service and do not recommend specific services. It is up to the account holder to decide the services required for their parcels.

Payments and Additional Charges

ShipGenius uses Stripe as its third-party payment provider. Stripe encrypts and handles all data transactions for credit cards, ACH, and invoice payments. Stripe is PCI compliant and follows all posted rules and regulations regarding the handling of sensitive data.

By using ShipGenius, you agree to pay for our Services at the time of the Service and agree to let us authorize your payment method. By submitting payment information, you agree to allow us to facilitate this information to our payment provider to process your payment.

You are responsible for providing accurate, complete, and truthful payment information. Should any amounts become due in which your payment method has been denied, returned, or refused, ShipGenius reserves the right to charge you the applicable fee and expects payment within 14 days. If not paid after 14 days, the charge will begin to accrue interest at 1.5% per week.

OMS tier: The OMS is billed at $19.99/month flat regardless of order volume. Marketplace Integrations are billed at $5/month each after the first free integration. Integration fees are charged monthly and cover the compute cost of running the data sync.

Plus tier label fee: BYO carrier account labels are charged at $0.06 per label. This fee is charged at the time of label generation and is non-refundable if the label is used. If a label is voided before use and the carrier accepts the void, the label cost is refunded but the $0.06 platform fee is retained.

ShipGenius reserves the right to pass on any adjustments or additional fees charged by the carrier service up to 30 days after receiving an adjustment for a label you created. These adjustments can result from: inaccurate dimensional information, inaccurate declared package value, deliveries on weekends or holidays, local customs charges and import taxes or duties, or any other additional surcharge facilitated by a carrier.

Voiding a label in ShipGenius terminates a purchased shipping label. When successfully voided, a full refund of the label cost is issued. The ability to void a label is determined entirely by the carrier's response. ShipGenius does not enforce any internal time limit. If the carrier accepts the void, the label is canceled and refunded. If the carrier denies the request, the label remains valid and is not eligible for refund.

ShipGenius reserves the right to change its billing structure, prices, and promotions at any time. Changes will be communicated via email and posted on the ShipGenius website.

OMS, Warehouse, and 3PL Specific Terms

Order and inventory data: You are solely responsible for the accuracy of all orders, SKUs, inventory records, and fulfillment data entered into or synced into ShipGenius through Marketplace Integrations. ShipGenius is not liable for fulfillment errors resulting from inaccurate data.

Marketplace Integrations: By connecting a Marketplace Integration, you authorize ShipGenius to access, sync, and process order and inventory data from the connected platform. You represent that you have the authority to grant this access. ShipGenius is not liable for data discrepancies caused by the connected platform.

Blueprint automation: Automated fulfillment rules created via the Blueprint system are your responsibility to configure correctly. ShipGenius is not liable for fulfillment outcomes resulting from incorrectly configured Blueprints.

3PL Operators: 3PL Operators using the 3PL tier are responsible for ensuring their client brands have agreed to the storage and processing of their data within the ShipGenius platform. ShipGenius acts as a data processor on behalf of the 3PL Operator for all client brand data.

3PL Marketplace: Listings in the ShipGenius 3PL Marketplace are subject to separate terms that will be published when the Marketplace feature launches. Listing in the Marketplace does not constitute an endorsement by ShipGenius of the listed 3PL operator.

Fraud Prevention and Prohibited Shipping Practices

ShipGenius maintains a zero-tolerance policy regarding fraudulent activity. We utilize risk assessment monitoring to detect patterns indicative of fraud, including but not limited to: triangulation fraud, reshipping schemes, carding, and the use of stolen identity or financial information.

You agree that you will not use the Services to ship goods obtained via fraudulent means, and will not use return addresses not associated with you or your business.

In the event that ShipGenius detects suspicious or fraudulent activity:

• We reserve the right to immediately void any active shipping labels with the carrier without prior notice
• We reserve the right to withhold any refunds or account balances for up to 180 days to cover potential chargebacks, disputes, or fines
• You are liable for all costs associated with fraudulent activity, including label costs, payment dispute fees, and administrative costs
• You consent to ShipGenius sharing your account details, transaction history, and device fingerprint data with payment processors, financial institutions, and law enforcement agencies to prevent further fraud

Account Security and Responsibility

You are responsible for maintaining the confidentiality of your account login information and password. You agree to accept responsibility for all activities that occur under your account. ShipGenius is not liable for any loss or damage arising from your failure to safeguard your account credentials. If you suspect unauthorized use of your account, you must notify us immediately at info@shipgeni.us.

Class Action Waiver

You and ShipGenius agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. By using our Services, you waive your right to participate in any class action lawsuit or class-wide arbitration against ShipGenius LLC.

International Shipping and Customs

For all international shipments, you act as the "Exporter of Record." You are solely responsible for complying with all export and import laws of the United States and the destination country, and for the accuracy of all customs documentation including commercial invoices and harmonized tariff codes. ShipGenius is not liable for shipments seized, delayed, or returned by customs authorities, nor for any duties or taxes left unpaid by the recipient.

Proprietary Information

Our websites, services, and the software we use are proprietary and confidential. By using our Services, you agree that you will not copy, duplicate, sell, or exploit our services in any way unless given explicit written consent by the ownership group of ShipGenius. Programmatic use of our API for any purpose other than generating shipping labels, managing orders, or accessing fulfillment data as permitted by your account tier is prohibited.

Data mining, web scraping, web extraction, robots, AI scraping, or similar data gathering tools are strictly prohibited. Any such use may result in immediate suspension or termination of your account.

Limitation of Liability

To the fullest extent permitted by law, ShipGenius LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. ShipGenius is not liable for any damage, loss, or expense caused by errors in carrier rates, service disruptions, misdeliveries, fulfillment errors, or the use or inability to use our Services. Your sole remedy for dissatisfaction is to stop using our Services.

Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranty of any kind. ShipGenius makes no guarantees that the Services will always be available, error-free, or secure. We do not guarantee the accuracy of rates or delivery times provided by carriers and disclaim all warranties related to carrier-provided services.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Davis County, Utah.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such provision shall be modified to accomplish its objectives to the greatest extent possible, and the remaining provisions will continue in full force and effect.

Right to Terminate and Suspended Accounts

We reserve the right to terminate or suspend any account, with or without cause, at any time. This includes but is not limited to abuse, fraudulent use, violation of these Terms, or excessive chargebacks or disputes.

Indemnification

You agree to defend, indemnify, and hold harmless ShipGenius LLC and its affiliates, directors, officers, and employees from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) resulting from your use of the Services or violation of these Terms.

Modification to Terms

ShipGenius reserves the right to update these Terms at any time. Changes will be posted on our website at shipgeni.us/terms. Continued use of the Services after any updates constitutes your acceptance of the new Terms.
